Alan Stewart

Alan Stewart has over 30 years of experience of corporate and commercial law and transactions; in private practice and in-house; and in management, consultancy, executive and non-executive director roles. He is also Senior Tutor for the Corporate module of the Diploma in Legal Practice at the University of Glasgow.

He has a legal background exclusively in corporate work, having been a partner in a number of law firms as well as having been head of an in-house legal department. Alan’s career has covered the full range of corporate work - business startups, debt and equity funding, stock exchange flotation, reconstructions, amalgamations and privatisations. He has particular expertise in company acquisitions and disposals and general listed company transactions.

For ten years Alan was a partner at McGrigor Donald and then at Semple Fraser before moving in-house to head up Clydesdale Bank's legal services department. Following a spell outside the profession in management, he held the post of managing partner with Burness before returning to work as a consultant and director. Alan was a partner in the corporate department of HBJ Gateley prior to founding Kergan Stewart.

Alan's time spent as an in-house lawyer and business manager at Clydesdale Bank, together with his work as a director of various companies, has helped him to understand the client’s perspective.

Major transactional work

Examples of Alan’s major transactional work include the following:

  • Privatisation of the electricity supply industry in Scotland, by the ring-fencing of the nuclear activities and then the flotation by way of public offer for sale of Scottish Power plc and Scottish Hydro-Electric plc.
  • Privatisation of Forth Ports Authority, by the transfer of the Authority to a successor company and the flotation of that company by way of Placing and Intermediaries Offer.
  • Various transactions for The Scottish Metropolitan Property PLC, including Debenture Issues and acquisitions.
  • Various transactions involving City Site Estates plc, including flotation, acquisitions and Debenture Issues.
  • Acquisition of a 29.9% interest in Clyde Blowers plc by a joint venture company set up by Jim McColl, the buy-in candidate, and 3i plc.
  • Flotation of Avonside Group plc, which was spun out of Cannon Street  Investments by way of Placing and Offer for Sale.  
  • Acquisition of North British Distillery Company by a joint venture company set up by IDV and Robertson & Baxter, effected by way of general offer.
  • Bank of England enquiry into Adam & Company, representing the finance director and assisting in his written submission to the Bank.
  • Flotation of Saracen Value Trust, a new investment trust managed by SFM Investment Management Limited a company set up by two former fund managers from Scottish Amicable.
  • Sale of the Spanish gold mining interests of Tharsis PLC
  • Advising the board of Wallets’ Marts PLC, an unlisted public company, in a successful defence of a hostile bid.
  • AIM flotations of Inner Workings and Creos
  • Acquisition of the building maintenance division of Scottish Homes for Mowlem Scotland
  • Advising the corporate finance and institutional teams of Allied Provincial on their exit from Greig Middleton and their joining Bell Lawrie White & Co (now Brewin Dolphin)
  • Set up of Castle International Asset Management Limited, a new fund management company, for some of the former executives of Dunedin backed by PNC Bank of Pittsburgh
  • Loan facilities of £22.5m made by Bank of Scotland to First Engineering, the mbo vehicle for the infrastructure maintenance division of ScotRail.
  • Sale of Beat 106 to Capital Radio
  • Sale of the Malcolm family truck interests to W H Malcolm/Grampian Holdings
  • Pre-flotation due diligence and global restructuring of i-Mate Group
  • Acquisition of Ristma Group (Switzerland, Germany and Poland) by Axeon Holdings plc
